Terms of Service

Effective Date: January 12, 2026

These Terms of Service (the “Terms”) are a binding agreement between you and Village (the entity that operates the Service at village.dev) (“Village”, “we”, “us”, or “our”). The Terms govern your access to and use of the Village website and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

Acceptance of these Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” includes that organization.

Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to provide notice (for example, by posting the updated Terms on this page). Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.

Changes to the Service

We may add, remove, or modify features of the Service at any time. We do not guarantee that any specific feature, content, or functionality will always be available.

If we discontinue the Service (or a paid feature you have purchased), we will provide reasonable notice and, if you have prepaid for the affected subscription period, a prorated refund of prepaid, unused fees for that affected period.

Eligibility

You must be legally capable of entering into a binding contract to use the Service. In any case, you must be at least 18 years old (or the age of majority where you live) to use the Service. You may not use the Service where prohibited by applicable law.

Additional policies and agreements

These Terms incorporate by reference our Privacy Policy, which explains how we collect, use, and share information. If you use the Service, you agree to comply with the Privacy Policy.

If you or your organization enters into a separate written agreement with Village regarding the Service (for example, an order form, master services agreement, or enterprise terms), that agreement will control in the event of any conflict with these Terms for the subject matter it covers.

Certain features may be subject to additional terms presented at the time you use those features. If you do not agree to the additional terms, you should not use those features.

Accounts and security

Some parts of the Service may require an account. You agree to provide accurate, complete information and keep it up to date. You may not share your account credentials or allow others to access your account except as expressly permitted under an organization plan. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access to or use of your account.

Paid plans, billing, and cancellation

Some parts of the Service may be offered for a fee. If you purchase a subscription or other paid access, the fees, term, and payment terms will be described at the time of purchase or in an applicable order form.

Your content

You may provide inputs, files, links, notes, prompts, or other materials to the Service (“Content”). You retain any rights you have in your Content. You grant Village a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and transmit your Content solely as necessary to provide, maintain, secure, and improve the Service, to prevent or address technical or security issues, and to comply with applicable law.

You represent and warrant that you have all rights necessary to provide your Content to the Service and that your Content does not violate law or third-party rights.

You are responsible for your Content and for ensuring it is appropriate to use with the Service. Do not submit Content that you do not have permission to use or that contains sensitive personal information unless you have a lawful basis and appropriate safeguards.

Intellectual property

The Service, including its software, design, and content (excluding your Content), is owned by Village and its licensors and is protected by intellectual property laws. Subject to these Terms, Village grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.

Feedback

If you provide feedback, suggestions, or ideas about the Service (“Feedback”), you grant Village a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate the Feedback into the Service without restriction or compensation to you.

Third-party services and data

The Service may integrate with or rely on third-party services and data sources. Third-party services are governed by their own terms and policies. Village does not control third-party services and is not responsible for their availability, security, or content.

AI output and no investment advice

The Service may generate responses, summaries, analyses, or other results using automated or AI-assisted methods. Your Content may be processed and the Service may return results (“Output”). Output may be incomplete, incorrect, or outdated, and you are responsible for independently verifying results before relying on them.

Outputs may not be unique. Output may be similar to content generated for other users, and such similar output is not your Content.

Ownership. As between you and Village, you retain ownership of your Content. To the extent permitted by applicable law and subject to these Terms, Village assigns to you any rights it may have in the Output. Village retains all rights in and to the Service and underlying technology, including models, tooling, and non-public know-how.

Third-party rights. Output may include or reflect information from third-party sources. Village does not grant you any rights in third-party content or data included in Output. You are responsible for using Output in compliance with applicable laws, these Terms, and any third-party terms or rights that apply.

Acceptable use applies to Output. Your use of Output is subject to these Terms, including the Acceptable use restrictions.

No investment advice. The Service is provided for informational and research purposes only and does not constitute investment, legal, tax, or other professional advice. Village is not a broker-dealer, investment adviser, or fiduciary. You are solely responsible for your investment decisions and for obtaining professional advice as needed.

Data processing, privacy, and security

Our Privacy Policy describes how we handle personal information. If you use the Service, you acknowledge that personal information may be processed as described there.

Use of Content to improve the Service. We may use Content to provide, maintain, and improve the Service, including to evaluate and improve system performance and quality. If you would like to request limitations on the use of your Content for improvement purposes, contact us and we will work with you to the extent commercially reasonable.

Security. We use reasonable administrative, technical, and organizational measures designed to protect the Service and Content. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Data processing addendum (DPA). If you are using the Service as a business customer and we process personal data on your behalf, a data processing addendum may be made available upon request or as part of an enterprise agreement.

Copyright and DMCA policy

If you believe that content on the Service infringes your copyright, please send a notice to us that includes: (1) a physical or electronic signature of the copyright owner or authorized agent; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material; (4) your contact information (address, telephone number, and email); (5) a statement that you have a good faith belief that use of the material is not authorized; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

We may remove or disable access to material alleged to be infringing and may terminate accounts of repeat infringers where appropriate. If you believe your material was removed or disabled by mistake or misidentification, you may send a counter-notice that includes: (1) your signature; (2) identification of the material removed and the location where it appeared; (3) a statement under penalty of perjury that you have a good faith belief the material was removed as a result of mistake or misidentification; and (4) your name, address, and phone number, and a statement that you consent to the jurisdiction of the federal court for the judicial district in which your address is located (or, if outside the U.S., the Northern District of California) and that you will accept service of process from the person who provided the original notice.

Compliance (export controls and sanctions)

You may not use the Service if you are located in, under the control of, or a national or resident of any country subject to U.S. embargo, sanctions, or export restrictions, or if you are on any U.S. government restricted party list. You agree to comply with all applicable export control and sanctions laws and regulations.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLAGE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VILLAGE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VILLAGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF VILLAGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VILLAGE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO VILLAGE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100) IF YOU HAVE NOT PAID VILLAGE.

Indemnification

You agree to indemnify and hold harmless Village and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service or your Content, including any allegation that your Content or use of the Service violates law or third-party rights.

Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or if we must do so to comply with law. You may stop using the Service at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

Effect of termination. Upon termination, your right to access and use the Service will stop. You are responsible for exporting your Content before termination. We may delete or de-identify Content in accordance with our Privacy Policy and applicable law.

Dispute resolution

Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at [email protected] and providing a brief description of the dispute and your contact information.

Time to bring claims. To the maximum extent permitted by law, any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim arises, or it will be permanently barred.

Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction and venue in those courts.
